What your future may hold
Act as the primary person responsible for legal support on a wide variety of M&A transactions and other key transactions for the Group (including capital markets related projects) as part of a fast-paced international environment.
Your responsibilities include among others:
- Being the lead contact responsible on a day-to-day basis for the management of legal support on a wide variety of international M&A transactions (acquisitions, mergers, joint ventures, corporate restructurings, divestitures, spin-offs, etc.), as well as the ongoing support of its joint venture relationships across the Group.
- This includes responsibility for legal support across all stages of the M&A process;
- initial structuring analysis;
- full due diligence processes;
- input into governance papers and non-binding/binding offer documents;
- negotiation of transaction documents;
- filings with applicable regulatory authorities as well as all signing and closing formalities;
- in close cooperation with other functions of the Group as well as the Group’s regions and operational companies.
- Providing legal support to the Group Capital Markets and Treasury department on financial/treasury-related matters, e.g. capital increases, dividend distributions, issuance of various debt instruments, intra-group loan arrangements, KYC and AML requirements and updates, etc.
- Manage and support on a day-to-ay basis your colleague Legal Counsel M&A.
- Provide regular briefings to members of the Executive Committee and Management Committee on significant legal topics arising on various M&A transactions across the Group, including the preparation of qualitative legal advice to top management.
- Management of external legal support, including:
- assisting with the identification and selection of external counsel on new M&A files and ensuring the most appropriate support is provided in the relevant jurisdictions;
- interacting daily with, and being the primary provider of instructions to, external law firms for M&A transactions (i.e. main contact person). This involves prioritizing Ageas’s needs by ensuring we receive legal advice and support in a timely, cost-efficient and targeted manner;
- facilitating recurring law firm relationship management between the Ageas Group and preferred firms in relevant jurisdictions;
- conducting regular law firm and lawyer performance analysis.
- Responsible for assessment of legal and compliance risks, irregularities, and/or gaps on M&A files, and the provision of guidance to internal Group functions and senior management in achieving viable solutions to such relevant legal issues.
Your skillset
- You have obtained a Master of Laws degree with excellent academic results.
- You have a minimum of 8 years of transactional experience in a reputable and internationally oriented law firm or equivalent in-house counsel experience.
- On top of outstanding transactional skills and legal expertise, you are interested in and enthusiast to learn about insurance M&A, including in the exciting and challenging environment of emerging markets.
- You are interested in and capable of working within different cultural environments.
- You have strong analytical legal skills, you are capable of identifying legal issues relevant to the matter at hand and translating your legal analysis of such issues into clear and crisp business relevant advice.
- You are a team player who enjoys sharing knowledge and working together with peers and outside parties, while being able to function autonomously and to take on responsibilities.
- You are dynamic and creative, proactive, solution driven and pragmatic.
- You are a good communicator and coordinator.
- You have full professional proficiency in English.
- You are open to occasional business travel.
