What your future may hold

As Legal & Compliance Officer, you will become the legal and compliance anchor of the organisation, managing legal matters across the fund platform, portfolio activities, fundraising processes, and regulatory compliance obligations. Reporting directly to the Managing Partner, you will work closely with the investment and operations teams while coordinating with external legal advisors and regulatory stakeholders. This is a broad role with a strong compliance focus and plenty of opportunities to shape processes as the organisation continues to grow.

You will:

• Take ownership of the fund's day-to-day compliance activities, ensuring policies, procedures and regulatory obligations are properly drafted and maintained.
• Coordinate AML/KYC processes, investor onboarding and regulatory documentation.
• Support the preparation and follow-up of compliance reporting and act as an important point of contact for regualory institutions and external compliance partners.
• Review, draft and manage a variety of legal documents, including investment-related agreements, shareholder documentation, service agreements, vendor contracts and commercial contracts.
• Coordinate external legal counsel across different jurisdictions and monitor the quality and consistency of legal documentation.
• Support the investment team throughout investment, follow-on and exit processes from a legal and operational perspective.
• Support fund operations by maintaining shareholder records, transaction documentation and corporate governance files.
• Continuously improve legal and compliance processes by identifying opportunities for greater efficiency (like the use of templates), structure and risk management.
• Monitor regulatory developments and translate them into practical internal procedures.
• Grow together with the organisation and contribute to the further professionalisation of the legal & compliance function.

Your skillset

• Master's or Bachelor's degree in Law.
• Approximately 5 years of relevant experience in a law firm, financial services, an investment fund, compliance or an in-house legal environment.
• Good understanding of contract law, corporate law and compliance principles. Familiarity with fund structures, investor onboarding, AML/KYC, compliance processes, and/or governance matters is a strong asset.
• Exposure to cross-border transactions and international legal environments is an asset.
• Excellent communication skills in English and Dutch.
• Able to take ownership and accountability in a pragmatic, proactive and solution-oriented way.
• Comfortable working independently in a fast-paced venture capital environment while collaborating closely with colleagues and external advisors.
• Strong organisational skills with an eye for detail and accuracy.
• Able to prioritise operational work while keeping the broader business objectives in mind.

Quelles seront tes responsabilités?

En tant que Senior Estate Planner, tu joues un rôle essentiel dans l’accompagnement des clients en matière de planification patrimoniale et successorale, avec qui tu développes une relation de confiance durable, souvent intergénérationnelle. En collaboration avec l’équipe des Estate Planners, tu accompagneras les clients francophones du bureau de Bruxelles.

Dans cette fonction stimulante, tes responsabilités comprennent notamment: 

• Tu réalises une analyse détaillée de la situation familiale et patrimoniale des clients. Tu identifies leurs besoins et objectifs spécifiques, constituant ainsi la base d’un conseil patrimonial personnalisé.
• Tu conseilles les clients dans l’élaboration d’une planification patrimoniale & successorale optimale et sur mesure. Cela comprend des stratégies telles que les donations, les modifications de contrats de mariage, les testaments, les mandats extrajudiciaires, les assurances décès et la création de sociétés simples.
• Tu coordonnes la mise en œuvre de la planification patrimoniale et successorale, y compris la rédaction d’actes sous seing privé tels que les donations bancaires et les actes de sortie d’indivision. Tu interviens comme intermédiaire entre les clients et les professionnels du droit, tels que les notaires et les avocats, afin de garantir une mise en œuvre fluide.
• Tu assures des présentations  pour des clients/prospects, en expliquant des concepts juridiques complexes de manière accessible.
• Tu es le premier point de contact des clients pour toutes les questions liées à l’estate planning.
• Tu joues également un rôle de référent au sein de la banque : tu partages ton expertise à travers des formations internes et externes, soutiens les collègues plus juniors et contribues activement à différents projets et initiatives transversales.
• Enfin, tu assures le support juridique et fiscal des Private Bankers.

Tu te reconnais dans ce profil?

• Un diplôme de Master en droit, obtenu en Belgique; un Master de spécialisation en notariat est un atout, mais n’est pas indispensable. 
• Au moins 10 ans d’expérience en tant que juriste ou avocat, avec une expertise en droit matrimonial, en droit des successions et en droit fiscal.
• Une excellente maîtrise du français. Une bonne connaissance du néerlandais est un atout majeur.
• Le contact client te donne de l’énergie et tu possèdes d’excellentes compétences en communication. 
• Tu es empathique et tu as un véritable esprit d’équipe.

Wat zijn je verantwoordelijkheden? 

Als Paralegal Consultant word je ingezet op uiteenlopende projecten bij onze klanten. Afhankelijk van de opdracht neem je onder meer volgende verantwoordelijkheden op:

• Corporate housekeeping: ondersteuning bij algemene vergaderingen, bestuursvergaderingen, UBO-registraties en vennootschapsadministratie.
• Contract management: opmaak, beheer en opvolging van contracten en andere juridische documentatie.
• Litigation support: ondersteuning bij geschillendossiers, documentbeheer en dossieropvolging.
• Juridische administratie: beheer van databanken, archivering, rapportering en juridische documentatie.
• AML/KYC-ondersteuning: uitvoeren van cliëntenonderzoeken, opvolgen van compliance-verplichtingen en administratieve ondersteuning binnen gereguleerde omgevingen.
• AI en legal operations: ondersteuning bij de implementatie van AI-tools, automatisering van juridische processen en begeleiding bij de praktische toepassing van nieuwe digitale oplossingen.
• Stakeholdermanagement: samenwerken met interne juridische teams, business stakeholders en externe adviseurs.
